THESE TERMS OF USE (THE “TERMS”) ARE A LEGAL CONTRACT BETWEEN YOU AND CLIMATE POLICY INITIATIVE, INC. (“CPI”, “WE” OR “US”). 

THE TERMS EXPLAIN HOW YOU ARE PERMITTED TO USE OUR WEBSITES ON WHICH THESE TERMS APPEAR (COLLECTIVELY, THE “SITES”).  UNLESS OTHERWISE SPECIFIED, ALL REFERENCES TO “SITES” INCLUDE THE CONTENT (THE “MATERIALS”) AND SERVICES AVAILABLE THROUGH THE SITES (THE “SERVICES”) AND ANY SOFTWARE THAT CPI PROVIDES TO YOU THAT ALLOWS YOU TO ACCESS THE SITES.  BY USING THE SITES, YOU ARE AGREEING TO ALL THE TERMS; IF YOU DO NOT AGREE WITH ANY OF THESE TERMS, DO NOT ACCESS OR OTHERWISE USE THE SITES OR ANY INFORMATION CONTAINED THEREIN.

Privacy

Your use of the Sites is also governed by our Privacy Policy, which is hereby incorporated into the Terms. Please review our Privacy Policy. CPI reserves the right, and you authorize us, to use and assign all information provided by or collected from you in any manner consistent with our Privacy Policy.

Changes

CPI may make changes to the Materials and Services offered on the Sites at any time. CPI can change, update, add, or remove provisions of these Terms, at any time, by posting updated Terms on the Sites. By using the Sites after CPI has updated the Terms, you are agreeing to all the updated Terms; if you do not agree with any of the updated Terms, you must stop using the Sites.

Site Use

CPI’s Sites are for non-commercial use, unless otherwise specified. You may not use any Service or Materials provided by the Sites for commercial purpose without the prior express written permission of an authorized representative of CPI. You may not modify, copy, distribute, display, send, perform, reproduce, publish, license, create derivative works from, transfer, sell or otherwise infringe on any intellectual property rights related to any information, content, software, products or services obtained from or otherwise connected to the Sites.

Intellectual Property

CPI provides Materials through the Sites that is copyrighted and/or trademarked work of CPI or CPI’s third-party licensors and suppliers or other users of the Sites. Materials may include logos, graphics, video, images, software, and other content.

Subject to the terms and conditions of these Terms, and your continued compliance with these Terms, CPI hereby grants you a limited, non-exclusive and non-transferable license to use the Materials and to use the Sites solely in furtherance of CPI’s charitable mission.  Except for the foregoing license, you have no other rights in the Sites or any Materials, and you may not modify, edit, copy, reproduce, display, create derivative works of, reverse engineer, alter, enhance or in any way exploit any of the Sites or Materials in any manner without CPI’s express permission. If you breach any of these Terms, the above license will terminate automatically and you must immediately destroy any retained (e.g. downloaded or printed) Materials.

Certain Materials on the Sites, such as our publications and data visualizations, are licensed for use under the terms of the Creative Commons Attribution-NonCommercial-ShareAlike 4.0 International (CC BY-NC-SA 4.0) or other Creative Commons licenses and may be used solely for non-commercial purposes, such as policy discussions or educational activities.  The relevant Creative Commons license will be specified within such Materials when applicable.  For commercial use of such Materials, please contact adminsf@cpiglobal.org.

“Climate Policy Initiative,” “The Global Innovation Lab for Climate Finance,” and the CPI circle design are registered trademarks of CPI and are also protected by unregistered trademark rights such as passing off, and may not be copied, imitated or used, in whole or in part, without the prior written permission of CPI. Any requests for permission to use these trademarks should be addressed to adminsf@cpiglobal.org. Other trademarks, names and logos on this Sites are the property of their respective owners.

All rights not expressly granted herein are reserved.

If you believe that any materials on the Sites infringe any copyright or other intellectual property interest, please provide CPI with the following information to legal@cpiglobal.org

• Your name, address, phone number, and e-mail address;
• If not you, the name, address, phone number, and e-mail address of the person or entity authorized to act on behalf of the owner of the copyright or other intellectual property interest and an explanation of your relationship to the person or entity;
• A description of the copyrighted work or other intellectual property interest that you claim has been infringed;
• A link to where the material that you claim is infringing is located on the Sites;
• An evidence or information as to why you believe the Sites infringe on any copyright or other intellectual property interest;

Our Policy towards Children

CPI does not knowingly or intentionally collect information from children under the age of 13. If you are under the age of 13, please do not provide any personal information about yourself to us. If you are between 13 years and 18 years old, or otherwise considered a minor in your jurisdiction, you must obtain your parent or guardian’s consent to use our Sites. If you are a parent or legal guardian of a minor, you hereby agree to bind the minor to these Terms and to fully indemnify and hold harmless CPI if the minor breaches any of these Terms. Notice Regarding Security

CPI seeks to have security measures in place to help protect against the loss, misuse, and alteration of the information under our control. Unfortunately, there is no such thing as perfect security in an online environment. As a result, we cannot, and do not, guarantee the security of any information you transmit to us through or in connection with the Sites or that CPI stores on our or our agents’ systems. For information on our security measures related to personally identifiable information collected on the Sites, please refer to our Privacy Policy.

Third-Party Sites

This Sites may be linked to other web sites that are not CPI Sites (collectively, “Third-Party Sites”).  Certain areas of the Sites may allow you to interact with such Third-Party Sites, and, if applicable, allow you to configure your privacy settings in your Third-Party Site account to permit your activities on the Sites to be shared with your contacts in your Third-Party Site account. In certain situations, you may be transferred to a Third-Party Site through a link but it may appear that you are still on the Sites.  In any case, you acknowledge and agree that the Third-Party Sites may have different privacy policies and terms and conditions and/or user guides and business practices than CPI, and you further acknowledge and agree that your use of such Third-Party Sites is governed by the respective Third-Party Site privacy policy and terms and conditions and/or user guides.  You hereby agree to comply with any and all terms and conditions, users guides and privacy policies of any of Third-Party Sites.  CPI is providing links to Third-Party Sites as a convenience, and CPI does not verify, make any representations or take responsibility for such Third-Party Sites, including, without limitation, the truthfulness, accuracy, quality or completeness of the content, services, links displayed and/or any other activities conducted on or through such Third-Party Sites. YOU AGREE THAT CPI WILL NOT, UNDER ANY CIRCUMSTANCES, BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY GOODS, SERVICES, INFORMATION, RESOURCES AND/OR CONTENT AVAILABLE ON OR THROUGH ANY THIRD-PARTY SITES AND/OR THIRD-PARTY DEALINGS OR COMMUNICATIONS, OR FOR ANY HARM RELATED THERETO, OR FOR ANY DAMAGES OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH YOUR USE OR RELIANCE ON THE CONTENT OR BUSINESS PRACTICES OF ANY THIRD-PARTY.  Any reference on the Sites to any product, service, publication, institution, organization of any third-party entity or individual does not constitute or imply CPI’s endorsement or recommendation.

Applicable Laws

CPI does not represent or warrant that the Sites, or any part thereof, are appropriate or available for use in any particular jurisdiction. Those who choose to access the Sites do so on their own initiative, and are responsible for complying with all local laws, rules, and regulations.

PLEASE BE AWARE THAT WE MAY PROCESS, TRANSFER, AND/ OR STORE PERSONAL INFORMATION THAT WE COLLECT THROUGH THE SITES TO COUNTRIES WHERE WE HAVE FACILITIES, OFFICES, EMPLOYEES OR SERVICE PROVIDERS, INCLUDING AUSTRIA, BRAZIL, INDIA, INDONESIA, SOUTH AFRICA, UNITED KINGDOM, AND UNITED STATES, THAT MAY NOT PROVIDE THE SAME LEVEL OF DATA PROTECTION AS YOUR HOME COUNTRY. BY USING THE SITES, YOU CONSENT TO SUCH TRANSFER OF YOUR PERSONAL INFORMATION to countries outside of your country of residence, including the locations listed above, which may have data protection rules that are different from those of your country.  In certain circumstances, courts, law enforcement agencies, regulatory agencies or security authorities in those other countries may be entitled to access your personal information. Severability/Waiver
If any provision of this policy is deemed unlawful, void or for any reason unenforceable, then such provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions. No waiver of any of these policies or terms of use shall be deemed a further or continuing waiver of such term or policy or any other term or policy. A modification or waiver of a part of these Terms of Use shall not constitute a waiver or modification of any other portion of the Terms of Use.

Governing Law and Jurisdiction
This policy and your use of the Sites are governed and construed in accordance with the laws of the State of California, applicable to agreements made and to be entirely performed in California, without resort to its conflict of law provisions. You agree that any action at law or in equity arising or in any way relating to these Sites shall be filed only in the state and federal courts located in California and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action or proceeding arising out of these Sites.

Relationship of the Parties
Nothing contained in the Terms shall be construed to make either party a partner, joint venturer, employee or agent of the other party, and neither party shall hold itself out as such. Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability or other obligation of any kind, express or implied, in the name of or on behalf of the other party.

No Offer; No Solicitation; No Broker-Dealer or Advisory Services; Not Financial Advice

The Materials provided on the Sites are for general informational and educational purposes only in furtherance of CPI’s charitable mission. Nothing on the Sites constitutes, or should be construed as, an offer to sell, a solicitation of an offer to buy, or a recommendation to purchase, hold, or sell any security, loan, fund interest, or other financial instrument or investment, in any jurisdiction in which such an offer, solicitation, or recommendation would be unlawful. To the extent CPI conducts any charitable lending, grantmaking, or program-related activity, such activity is undertaken solely in furtherance of CPI’s tax-exempt charitable purposes. The information on the Sites is not directed to, or intended for distribution to or use by, any person in any jurisdiction where such distribution or use would be contrary to law or regulation or would subject CPI to any registration or licensing requirement within that jurisdiction.

DISCLAIMERS YOUR USE OF THE SITES IS AT YOUR OWN RISK.  CPI DOES NOT WARRANT THE ACCURACY OR TIMELINESS OF THE MATERIALS CONTAINED ON THIS SITE.  THE MATERIALS MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL OR OTHER ERRORS.  CPI HAS NO LIABILITY FOR ANY ERRORS OR OMISSIONS IN THE MATERIALS, WHETHER PROVIDED BY CPI, OUR LICENSORS OR SUPPLIERS OR OTHER USERS.

CPI, FOR ITSELF AND ITS LICENSORS, MAKES NO EXPRESS, IMPLIED OR STATUTORY REPRESENTATIONS, WARRANTIES, OR GUARANTEES IN CONNECTION WITH THE SITES, THE SERVICES, OR ANY MATERIALS RELATING TO THE QUALITY, SUITABILITY, TRUTH, ACCURACY OR COMPLETENESS OF ANY INFORMATION OR MATERIAL CONTAINED OR PRESENTED ON THE SITES, INCLUDING WITHOUT LIMITATION THE MATERIALS. LIMITATION OF LIABILITY
IN NO EVENT SHALL CPI, ANY OTHER PARTY (WHETHER OR NOT INVOLVED IN CREATING, PRODUCING, MAINTAINING OR DELIVERING THE SITES), AND/OR THE OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS OR AGENTS OF ANY OF THEM, BE LIABLE FOR ANY DIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOSS OF USE, LOSS OF INCOME, LOSS OF ACTUAL OR ANTICIPATED PROFITS, LOSS OF BUSINESS, LOSS OF CONTRACTS, LOSS OF GOODWILL OR REPUTATION, LOSS OF ANTICIPATED SAVINGS, LOSS OF, DAMAGE TO OR CORRUPTION OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SITES, THE SERVICES, OR THE MATERIALS CONTAINED IN OR ACCESSED THROUGH THE SITES, INCLUDING WITHOUT LIMITATION ANY DAMAGES CASED BY OR RESULTING FROM RELIANCE BY USER ON ANY INFORMATION OBTAINED FROM CPI, OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO CPI’S RECORDS, PROGRAMS OR SERVICES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF CPI, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY OR OTHER THEORY, ARISING OUT OF OR RELATING TO THE USE OF THE SITES EXCEED ANY COMPENSATION YOU PAY, IF ANY, TO CPI FOR ACCESS TO OR USE OF THE SITES.

Indemnity
You agree to defend, indemnify and hold CPI, and its affiliates, independent contractors, service providers, suppliers, licensors and consultants, and their respective its officers, directors, employees, and agents (the “Indemnified Parties”), harmless from and against any claims, damages, costs, actions, demands, liabilities, and settlements and expenses (including without limitation, reasonable attorneys’ fees) arising out of or related to your violation of these Terms and Conditions, any user content you post, store or otherwise transmit on or through the Sites, or your use of or inability to use the Sites, including without limitation any actual or threatened suit, demand or claim made against the Indemnified Parties, arising out of or relating to the Materials, your conduct, or your violation of the rights of any third party.
